Responses to Scandals and Preventive Measures – Case Studies and Explanations of Failed Cases

Outline of the Seminar

Most of the recent cases of malfeasance/scandals resulted in serious situations because, even though an internal system such as a whistleblowing system existed, it did not fully function, and because responses to malfeasance/scandals were too late. Such situation often results in the management, directors, etc., assuming liability for compensation, being forced to resign from their offices and/or being charged with criminal liability.

In this seminar, the lecturer specifically explains, based on recent actual cases, what kinds of failed cases there are, what are the resulting responsibilities of the company and directors, how to review the current systems for responding to and preventing scandals, and what persons in charge should do.

 1. Recent cases of malfeasance and scandals (case studies by type of malfeasance/scandal)

   (i) Embezzlement/accounting fraud (including those at overseas subsidiaries and group companies)

   (ii) Data fabrication (regarding manufacturers’ products and food)

   (iii) Inappropriate treatment of environmental contamination/waste

   (iv) Violation of business laws (real estate brokerage business, financial instruments business, funds transfer business, the Act against Unjustifiable Premiums and Misleading Representations, etc.)

   (v) Improper postings on SNS/websites

   (vi) Power harassment

2. Points to check in responses to scandals and preventive measures learned from failed cases

   (i) Confirmation of unfair points for promptly discovering malfeasance (whistleblowing system, etc.)

   (ii) Points for conducting an investigation following the revelation of malfeasance (including overseas investigation)

   (iii) Points for ex post facto (prevention of damage from spreading/compensation for damages, and responses to governmental authorities, investigative agencies and shareholders)

   (iv) Points for disclosing or announcing malfeasance and for addressing public relations

   (v) Points for responding to responsible executives

   (vi) Points for analyzing causes and examining preventive measures (specific measures and means)
